Terms of Service
These Terms of Service ("Terms") govern your purchase and use of ACENLY software ("we", "us", or "our"). By purchasing or using ACENLY, you agree to these Terms.
1. The software
ACENLY is a local Python code optimization tool. It runs entirely on your machine and uses large language models (either local via Ollama or via a third-party API you configure) to analyze and rewrite Python functions for improved performance. The tool includes:
- The ACENLY standalone command-line tool and local web dashboard.
- The ACENLY VS Code extension (where available).
- The ACENLY Benchmark tool (free, open source, MIT licensed — see benchmark page).
2. License
Upon completing your purchase, we grant you a personal, non-exclusive, non-transferable license to install and use ACENLY on your own machines for your own development work.
You may not:
- Redistribute, resell, sublicense, or share your license with others.
- Reverse engineer, decompile, or attempt to extract the source code of any proprietary parts of the software.
- Use ACENLY as part of a service you sell to third parties without a separate commercial license.
A single license covers up to 3 machines owned by the same individual.
3. Purchases and payment
All purchases are processed by Lemon Squeezy, who acts as the merchant of record. By purchasing, you also agree to Lemon Squeezy's Terms of Service. Your payment card details are handled solely by Lemon Squeezy and are never seen or stored by us.
Prices are listed in Euros (€) and are inclusive of applicable taxes where required. The price shown at checkout is the final price.
4. Refunds
Because ACENLY is digital software delivered immediately upon purchase, we generally do not offer refunds once the license has been issued. However:
- If the software fails to function as described and we are unable to resolve the issue within a reasonable time, you may request a refund within 14 days of purchase by emailing hello@acenly.com.
- Customers in the EU have statutory cancellation rights for digital products. By downloading or accessing the software, you acknowledge that delivery has begun and agree that your right of withdrawal is extinguished at that point, unless required otherwise by applicable law.
Refund requests are processed through Lemon Squeezy.
5. Third-party API costs
ACENLY can optionally use third-party LLM APIs (e.g. OpenAI, Groq, Together AI). Any costs incurred with those providers are your own responsibility. We are not affiliated with and do not control those services.
6. No warranty
ACENLY is provided "as is" without warranty of any kind. We do not guarantee that the software will be error-free, that optimizations will always produce correct results, or that it will meet your specific requirements. You should always review and test any code changes produced by ACENLY before deploying to production.
The benchmark tool is open source and provided without warranty under the MIT license.
7. Limitation of liability
To the maximum extent permitted by law, we shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of ACENLY, including but not limited to loss of data, loss of profits, or production outages caused by incorrect optimizations.
Our total liability to you shall not exceed the amount you paid for the software.
8. Updates and future versions
Your purchase includes all updates to the current major version. We aim to provide reasonable updates and bug fixes for at least 12 months after purchase. We reserve the right to release future major versions as separate paid upgrades.
9. Acceptable use
You agree not to use ACENLY for any unlawful purpose or in any way that could harm others. The software is intended for legitimate software development work.
10. Termination
We may terminate your license if you materially breach these Terms and fail to remedy the breach within 14 days of written notice. Upon termination, you must cease using the software and delete all copies.
11. Governing law
These Terms are governed by applicable law. Any disputes shall be resolved in the competent courts of your jurisdiction as required by local law.
12. Changes to these Terms
We may update these Terms from time to time. We will notify existing customers of material changes by email. Continued use of the software after changes take effect constitutes acceptance of the revised Terms.
